Summary
On September 30th, KeyBanc Capital Markets (“KBCM") successfully closed the syndication of $1,030; Million Senior Secured Credit Facilities in support of The Jordan Company, LP (“The Jordan Company”, “TJC” or the “Sponsor”) acquisition of Arclin USA LLC (“Arclin” or the “Company”). The facilities are comprised of a $100 Million Revolving Credit Facility (the “Revolver”), a $685 Million First Lien Term Loan (“1LTL”), a $100 Million Delayed Draw Term Loan (“DDTL”) and a $145 Million Second Lien Term Loan (“2LTL” collectively, the “Credit Facilities”). Proceeds from the Credit Facilities will be used to support the acquisition of Arclin, support ongoing working capital needs, and pay transaction related fees and expenses. KBCM served as Joint Lead Arranger and Joint Bookrunner and was chosen to play a role in the financing due to its longstanding relationship with the Sponsor, industry expertise and Debt Capital Markets capabilities.
Arclin is a leading integrated provider of Engineered Building Solutions (“EBS”) and Performance Products (“PP”) serving the residential, commercial, industrial and R&R markets. The Company has leading market share in its respective markets with a scalable footprint of 12 manufacturing facilities across North America. Arclin’s various applications include residential and commercial construction applications, composites, plywood, saturating resins, formaldehyde, agriculture, and other specialty engineered products.
