On April 21, 2026, KeyBanc Capital Markets served as Joint Bookrunner on Yesway, Inc.’s (Yesway or the Company) $322 million Initial Public Offering of 16,100,000 shares, including overallotment.

Established in 2015 and headquartered in Fort Worth, Texas, Yesway is an award-winning convenience store operator with 449 stores across nine states in the Midwest and Southwest. The Company is renowned for its iconic food service offerings, diverse grocery selections, and private-label products, including the famous Allsup's deep-fried burrito. Through strategic acquisitions, the 91 new stores it has developed and opened in the past several years, and its steadfast commitment to customer satisfaction and community engagement, Yesway continues to cement its position as one of the leading convenience retailers in the U.S.

The transaction includes a $54 million ($181,324/unit) non-recourse, first mortgage loan secured by a 298-unit, garden-style apartment known as Lakeview at Westpark, located in Richmond, Texas. Lakeview at Westpark consists of six three-split-story buildings and a one-story community building (5,820 square feet) for a total of seven (7) buildings. The property was built in 2021 and is situated on 11.02 acres of land. The proposed loan will be used to refinance the existing debt of the property. The loan is structured with a 35-year term and amortizes on a 35-year schedule.

On April 14, 2026, KeyBanc Capital Markets and Key Government Finance successfully closed $80 million of Senior Secured Credit Facilities for Redding Rancheria. The proceeds, in conjunction with equity contributions, will support the construction and development of the new Redding Rancheria Health Village.

This transaction represents Key’s second financing for Redding Rancheria and the second financing for the Native American Financial Services team secured solely by healthcare revenues. Key was selected to serve as Sole Lender and Structuring Agent due to its extensive experience financing Native American construction projects and deep-rooted relationship with Redding Rancheria.

Redding Rancheria is a federally recognized Tribe with Pit River, Wintu and Yana people and an established leader in the constructive development of its people, the larger Indian community and the Redding Region. Redding Rancheria Health Village
In 1991, Redding operated a small facility to provide medical, behavioral and dental health services to Native Americans, which expanded into the 12,000-square-foot Churn Creek Road Facility. In 2012, Redding acquired their 33,000-square-foot Liberty Street Facility and expanded the operation of each program, and in 2022, constructed the 18,000-square-foot Trinity Health Center. In 2024, Redding opened its Center for Advanced Care, broadening access to specialty-driven services for its expanding patient base.

The Redding Rancheria Health System has evolved and expanded over the course of three decades to service both Native and non-Native populations, with a focus on the large and underserved Medicare and Medi-Cal population. The new visionary Health Village, opening in early 2027, will span 185,000 square feet and provide comprehensive, culturally centered health care, with a focus on holistic wellness. KeyBank successfully closed a $25 million Term Loan and $5 million Revolving Line of Credit for Moosilauke Visions, Inc. and its subsidiaries. On March 20, 2026, KeyBanc Capital Markets Inc. (KBCM) successfully closed on $146 million of Senior Secured Credit Facilities supporting TigerGenCo’s utility-scale energy storage project, Bayonne Energy Center III. The Facilities include a $48.5 million construction-to-term loan, a $82.7 million tax credit bridge loan, and $14.8 million in letters of credit. Proceeds will be used to fund the project’s construction. KBCM acted as Coordinating Lead Arranger and Administrative Agent.

Bayonne Energy Center III is a 50 MWAC/200 MWh battery energy storage project located in Hudson County, New Jersey. The Project has an executed power purchase agreement with ConEd to sell 100% of power and ancillary service credits. It will utilize Tesla MegaPack equipment and complement the existing natural gas plant co-located at the site. Operations are expected to begin in Q3 2027. 

This marks the third transaction between Morgan Stanley Infrastructure Partners and KBCM.

On March 11, 2026, Sonida Senior Living, Inc. (Sonida), one of the largest, pure-play owner-operators and investors in U.S. senior living communities, announced the completion of its merger with CNL Healthcare Properties, Inc. (CHP), a real estate investment trust that owns a national portfolio of high-quality senior housing properties. Sonida acquired 100% of CHP in a cash and stock transaction valued at approximately $1.8 billion. In March 2026, KeyBanc Capital Markets acted as Active Joint Bookrunner on $1.2 billion of First Mortgage Bonds due 2036 and 2056 for Northern States Power Company Minnesota (“NSPM” or the “Company”). 

NSPM is an operating utility engaged primarily in the generation, purchase, transmission, distribution and sale of electricity in Minnesota, North Dakota, and South Dakota. As of December 31, 2025, the Company provided electric service to approximately 1.6 million customers and natural gas service to 0.6 million customers.

NSPM priced $1.2 billion of First Mortgage Bonds in two tranches:

• $600 million of First Mortgage Bonds due 2036 at a spread of T+75 bps for a coupon of 4.85%
• $600 million of First Mortgage Bonds due 2056 at a spread of T+85 bps for a coupon of 5.55%

The deal was very well received by the market, pricing with a negative new issue concession on both tranches and a 6.2x orderbook oversubscription overall.

The Company intends to use the net proceeds to repay short-term borrowings and for general corporate purposes.

Proceeds from the Credit Facilities will be used to fund The Visualize Group’s acquisition of the Company, for working capital needs and general corporate purposes, and to pay transaction fees and expenses. KeyBank Community Development Lending & Investment provided capital for the rehabilitation of Henderson Court, a 150-unit affordable housing project in Bloomington, Indiana. 150 units will serve families and individuals earning no more than 60% of the Area Median Income (AMI). The financing includes a $4.7 million equity bridge loan arranged by Kelly Frank, $9.5 million in LIHTC equity arranged by Ryan Olman, and a $22 million permanent loan arranged by Key’s Commercial Mortgage Group.

On February 26, 2026, KeyBanc Capital Markets served as Joint Lead Arranger and Joint Bookrunner on a $1 billion Senior Secured Revolving Credit Facility for Peoria Resources, LLC (Peoria). Peoria is a subsidiary of JAPEX (U.S.) Corporation. Proceeds will be used to fund the acquisition of DJ Basin assets from Verdad Resources Holdings LLC and for general corporate purposes.

On February 26, 2026, KeyBanc Capital Markets served as Active Joint Bookrunner on a $750 million Senior Notes offering for Matador Resources Company. Proceeds will be used to repay existing indebtedness, and for general corporate purposes.
